1.                 Introduction and Acceptance

1.1.             These Terms of Service ("Terms") govern your access to and use of the website located at www.wearetheoasis.com ("Website"), which is owned and operated by Strategic Alignment Ltd ("SAL", "we", "us", or "our").

1.2.             By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website.

1.3.             These Terms are separate from and supplemental to the Membership Agreement, the Bylaws, and the Articles of Association, which together govern the membership relationship between SAL and its members. In the event of any conflict between these Terms and the Membership Agreement, the Membership Agreement shall prevail in respect of membership rights and obligations.

1.4.             SAL reserves the right to modify these Terms at any time in accordance with Clause 14.

2.                 About Strategic Alignment Ltd

2.1.             SAL is a membership organisation incorporated in the Hong Kong Special Administrative Region as a company limited by shares under the Companies Ordinance (Cap. 622).

2.2.             SAL provides its members with lifetime access to a managed network of properties worldwide. SAL secures leases on properties and manages access for its members in accordance with the Membership Agreement.

2.3.             SAL is not a travel agency, tour operator, hotel operator, resort, timeshare scheme, vacation club, or real estate developer. SAL does not sell, lease, or otherwise transfer any ownership interest in real property to its members.

2.4.             Information presented on the Website is provided for general informational purposes about SAL and its membership programme. Such information does not constitute an offer to sell or a solicitation of an offer to purchase any product, service, or interest.

3.                 Eligibility

3.1.             The Website is available to persons who are at least eighteen (18) years of age. By accessing or using the Website, you represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into these Terms.

3.2.             Membership of SAL is subject to a separate application process, identity verification, source of funds documentation, and acceptance by the Board of Directors. Eligibility to use the Website does not confer any right to membership.

4.                 Website Use

4.1.             Permitted Use

You may use the Website for the following purposes:

(a)               browsing information about SAL and its membership programme;

(b)               submitting enrollment enquiries and booking onboarding consultations;

(c)               accessing the digital member platform, provided you are a member in good standing with valid credentials; and

(d)               contacting SAL through the channels provided on the Website.

4.2.             Prohibited Use

You shall not:

(a)               use the Website for any unlawful, fraudulent, or malicious purpose;

(b)               attempt to gain unauthorised access to any part of the Website, its servers, systems, or networks;

(c)               copy, reproduce, distribute, republish, download, display, post, or transmit any Website content without the prior written permission of SAL, except as permitted by applicable law;

(d)               submit false, misleading, or inaccurate information through the Website;

(e)               use any automated system, including without limitation bots, spiders, scrapers, or data-mining tools, to access the Website or extract data;

(f)                interfere with, disrupt, or impose an unreasonable or disproportionate load on the Website or its infrastructure;

(g)               introduce any virus, trojan horse, worm, logic bomb, or other material that is malicious or technologically harmful; or

(h)               attempt to decompile, reverse-engineer, or disassemble any software contained on the Website.

5.                 Enrollment Enquiries

5.1.             The Website enables prospective members to submit enrollment enquiries and book onboarding consultations. Submitting an enrollment enquiry or booking an onboarding consultation does not constitute an application for membership and does not guarantee acceptance as a member.

5.2.             Membership is subject to a formal application process, which includes identity verification and source of funds documentation, and is contingent upon acceptance by the Board of Directors.

5.3.             SAL reserves the right to decline any membership application at its sole and absolute discretion, without obligation to provide reasons for such decision.

5.4.             Any information you submit through the Website in connection with an enrollment enquiry shall be processed in accordance with our Privacy Policy.

6.                 Membership Terms

6.1.             If your application for membership is accepted, the membership relationship shall be governed by the Membership Agreement, the Bylaws, and the Articles of Association, and not by these Terms.

6.2.             In the event of any conflict between these Terms and the Membership Agreement, the Membership Agreement shall prevail in respect of all matters relating to membership rights, obligations, property access, and the relationship between SAL and its members.

6.3.             The lifetime membership fee is US$30,000, payable in full upon acceptance. There are no recurring fees, annual charges, or maintenance assessments. The membership fee and all associated payment terms are set out in the Membership Agreement.

6.4.             Information on the Website regarding membership fees, benefits, and property access is provided for general informational purposes only and is subject to the terms of the Membership Agreement.

7.                 Intellectual Property

7.1.             All content on the Website, including without limitation all text, images, graphics, logos, the SAL brand, the "Oasis" mark, icons, photographs, audio and video clips, digital downloads, data compilations, software, design, and layout, is the property of Strategic Alignment Ltd or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

7.2.             You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Website content without the prior written permission of SAL, except that you may:

(a)               temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;

(b)               store files that are automatically cached by your web browser for display enhancement purposes; and

(c)               print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

7.3.             The SAL member designation and any associated marks may only be used by members in good standing in accordance with the terms set out in the Membership Agreement.

8.                 Digital Member Platform

8.1.             Certain areas of the Website are restricted to members of SAL ("Member Platform"). Access to the Member Platform requires valid membership credentials issued by SAL.

8.2.             You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify SAL immediately at [email protected] if you become aware of any unauthorised use of your account or any other breach of security.

8.3.             SAL may suspend or terminate your access to the Member Platform, without prior notice, if:

(a)               you breach any provision of these Terms;

(b)               you breach any provision of the Membership Agreement;

(c)               your membership is suspended or terminated for any reason; or

(d)               SAL reasonably believes that your account has been compromised.

8.4.             SAL reserves the right to modify, suspend, or discontinue the Member Platform, or any part thereof, at any time and without prior notice. SAL shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Member Platform.

9.                 Disclaimer of Warranties

9.1.             The Website and all content, materials, information, and services provided on or through the Website are provided on an "as is" and "as available" basis, without any representations or warranties of any kind, whether express, implied, or statutory.

9.2.             To the fullest extent permitted by the laws of the Hong Kong Special Administrative Region, SAL expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

9.3.             Without limiting the foregoing, SAL does not represent or warrant that:

(a)               the Website will be uninterrupted, timely, secure, or error-free;

(b)               the results that may be obtained from the use of the Website will be accurate or reliable;

(c)               the quality of any information or other material obtained through the Website will meet your expectations; or

(d)               the Website will be free from viruses, malware, or other harmful components.

9.4.             Information on the Website regarding properties, facilities, amenities, and services available to members is indicative only and may change without notice. Such information does not constitute a guarantee or commitment by SAL.

9.5.             The Website does not constitute and shall not be construed as legal, financial, tax, or investment advice. You should seek independent professional advice before making any decisions based on information provided on the Website.

10.              Limitation of Liability

10.1.          To the fullest extent permitted by the laws of the Hong Kong Special Administrative Region, SAL, its directors, officers, employees, stewards, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:

(a)               your access to, use of, or inability to access or use the Website;

(b)               any conduct or content of any third party on or accessed through the Website;

(c)               any content obtained from the Website; or

(d)               unauthorised access, use, or alteration of your transmissions or content,

whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not SAL has been advised of the possibility of such damages.

10.2.          SAL's total aggregate liability for any and all claims arising out of or in connection with the Website or these Terms shall not exceed one thousand Hong Kong dollars (HK$1,000).

10.3.          The limitations set out in this Clause 10 apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

10.4.          Nothing in these Terms shall exclude or limit liability for:

(a)               death or personal injury caused by negligence;

(b)               fraud or fraudulent misrepresentation; or

(c)               any other liability that cannot be excluded or limited under the laws of the Hong Kong Special Administrative Region.

11.              Third-Party Links

11.1.          The Website may contain links to third-party websites, services, or resources that are not owned or controlled by SAL. Such links are provided for your convenience only and do not signify that SAL endorses, sponsors, or recommends the linked website or its content.

11.2.          SAL has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party website. You acknowledge and agree that SAL shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party website.

11.3.          Your use of any third-party website is at your own risk and subject to the terms and conditions and privacy policies of such website.

12.              Privacy

12.1.          Your use of the Website is also governed by our Privacy Policy, which is available at https://join.wearetheoasis.com/privacy. The Privacy Policy is incorporated into these Terms by reference.

12.2.          By using the Website, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy, in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) of the Hong Kong Special Administrative Region and any other applicable data protection legislation.

12.3.          Any personal data submitted through enrollment enquiries or the Member Platform will be processed in accordance with the Privacy Policy.

13.              Indemnification

13.1.          You agree to indemnify, defend, and hold harmless SAL, its directors, officers, employees, stewards, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:

(a)               your breach of any provision of these Terms;

(b)               your violation of any applicable law, regulation, or third-party right;

(c)               your use of or access to the Website; or

(d)               any content, data, or information you submit, post, or transmit through the Website.

13.2.          SAL reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with SAL in asserting any available defences.

14.              Modifications to These Terms

14.1.          SAL reserves the right to amend, modify, or replace these Terms at any time and at its sole discretion.

14.2.          Material changes to these Terms will be indicated by updating the "Effective Date" at the top of this page and, where practicable, by posting a notice on the Website.

14.3.          Your continued use of the Website following the posting of updated Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the updated Terms, you must discontinue your use of the Website.

14.4.          SAL encourages you to review these Terms periodically to stay informed of any changes.

15.              Severability

15.1.          If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed severed from these Terms and shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

15.2.          If any invalid, illegal, or unenforceable provision would be valid, legal, or enforceable if some part of it were deleted or modified, that provision shall apply with the minimum modification necessary to make it valid, legal, and enforceable.

16.              Governing Law and Dispute Resolution

16.1.          These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

16.2.          Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre ("HKIAC") under the HKIAC Administered Arbitration Rules in force at the time of the commencement of the arbitration. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English. The number of arbitrators shall be one.

16.3.          Notwithstanding Clause 16.2, SAL reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or any other proprietary rights, without being required to post bond or other security.

17.              Entire Agreement

17.1.          These Terms, together with the Privacy Policy, constitute the entire agreement between you and SAL regarding your use of the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding such subject matter.

17.2.          For members of SAL, the Membership Agreement, Bylaws, and Articles of Association govern the membership relationship and shall take precedence over these Terms in all matters relating to membership rights, obligations, and property access.

17.3.          No waiver of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by SAL to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Anti-Spam Policy

18.1. SAL is committed to responsible, lawful communication. SAL does not send deceptive, misleading, or indiscriminate commercial electronic messages ("spam"). Where SAL initiates business-to-business correspondence with company founders and executives, such correspondence is individually addressed, truthfully identifies SAL as the sender, includes a valid contact address, and contains a clear and functional means of declining further contact. SAL sends SMS and other telephone-based communications only to individuals who have provided their telephone number to SAL and consented to receive such communications — for example, by submitting an enrollment enquiry, booking an onboarding consultation, or applying for membership. SAL's messaging practices are designed to comply with applicable anti-spam and telemarketing laws, including the Unsolicited Electronic Messages Ordinance (Cap. 593) of Hong Kong and, where applicable to recipients in other jurisdictions, the U.S. CAN-SPAM Act, the U.S. Telephone Consumer Protection Act (TCPA), and applicable carrier and industry messaging guidelines.

18.2. Every marketing or promotional communication sent by SAL includes a clear and functional means of opting out. You may opt out of marketing emails by using the unsubscribe link contained in any such email, and out of marketing SMS messages by replying "STOP" to any message received from SAL. Opt-out requests are honored promptly, and once you have opted out, SAL will not initiate further marketing contact through that channel. You may also request removal from our communication lists at any time by contacting us at the address set out in the "Contact Us" section of these Terms. Opting out of marketing communications does not prevent SAL from sending non-marketing communications necessary for the administration of your enquiry, application, or membership.

18.3. You shall not use the Website, your membership, the referral programme, or any affiliation with SAL to send, facilitate, or cause to be sent any unlawful or deceptive commercial communication. Without limiting the foregoing, you shall not: (a) send bulk or indiscriminate electronic messages that reference SAL, the Oasis, or the membership programme in violation of any applicable anti-spam law; (b) scrape or extract contact information from the Website or the Member Platform for any solicitation purpose; (c) misrepresent your affiliation with SAL, or use SAL's name, brand, or marks in any communication in a misleading manner; or (d) participate in the referral programme other than through personal, good-faith introductions.

18.4. SAL reserves the right to investigate suspected violations of this Anti-Spam Policy and to take any action it considers appropriate, including suspending or terminating Website access, membership, or referral-programme participation of any person who violates this policy, and reporting unlawful conduct to the relevant authorities. To report suspected spam sent in SAL's name, please contact us at the address set out in the "Contact Us" section of these Terms.
